Terms and Conditions

Introduction
These terms and conditions ("Terms") apply to your use of our mobile application ("App") and our services described below and form part of the agreement between you and Shuffle Finance Limited ("Shuffle", "we", "us").
By using the Shuffle App (the “Platform”) and our products (the “Services”) you agree to these Terms. You should read these Terms carefully along with our Privacy Policy, and only use our service if you agree to them.
These Terms have no fixed or minimum duration. They will apply until either you or we end this agreement.
You can review the current version of the Terms at any time on this page. We reserve the right to change the Terms at any time by posting updates to this page. If we make substantial changes, or if we are required to do so by law, we will notify you of such change in advance to the email address associated with your Shuffle account, but it is your responsibility to check this page from time to time to make sure you’re aware of any changes to these Terms.
Shuffle's Services
Shuffle supports you by providing the following services
Shuffle acts as an agent of GoCardless (the "Account Information Service Provider", "AISP") and will access your transaction data from your online bank accounts, saving accounts, and credit cards with your explicit consent.
Receive rewards such as Cashback payments through offers linked to your Bank transactions and balance data, through Open Banking (“Rewards Service”). "Cashback" means the reward that Shuffle Users can earn in accordance with these Terms in connection with qualifying purchases of certain goods and services.
We only provide the Shuffle Platform and Service for domestic and private use. You agree not to use the Shuffle Platform and Service for any commercial, business or resale purposes.
For our compliance purposes and in order to provide the Shuffle Platform and Service to you, you hereby authorise us to, directly or through a third-party, obtain, verify, and record information and documentation that helps us verify your identity and Bank Account information. When you register for Shuffle and from time to time thereafter, we may require you to provide and/or confirm information and documentation that will allow us to identify you.
We are constantly developing and improving the Shufflle App, so we will also tell you about new features of Shuffle that we’ve launched that you might not be aware of, as well as telling you about features of Shuffle that we can see you've not used.
We will provide the Services using reasonable skill and care and in accordance with our legal and regulatory obligations.
We reserve the right (without liability to you or prejudice to our other rights) to suspend your access to or use of the Services (including through deactivation of your Shuffle Account) without notice in the event you breach, or we reasonably suspect that you have breached or will breach, these Terms.
Accounts
Account Set-up and maintenance
To use our Services, you must first register for an account on the Platform (“Shuffle account”). By registering for an Shuffle Account, you warrant that you are:
- 18 years of age or older;
- An UK, EEA or Swiss national living in the UK; and
- A person who has the right of abode in the UK, or who has been granted indefinite leave to remain or has no time limit on his/her stay in the UK.You hereby represent and warrant that the information you provide to Shuffle upon registration, including information provided through your Linked Accounts (as defined below), and at all other times, will be true, accurate, current, and complete. You will ensure that this information is kept up-to-date at all times.
You are responsible for any use of our Services with your Shuffle Account details and password, and for protecting your Shuffle Account details and password from unauthorised use. You must not share this information with any other person. You are also responsible for the security of any computer from which you choose to sign into your Shuffle Account.
We reserve the right to refuse to register or to delete your Shuffle Account if you have previously had a Shuffle Account deactivated by us due to your breach of these Terms (or earlier versions thereof).
Linked Accounts
Shuffle may, now or in the future, allow you to link your Shuffle Account to your account(s) on third-party services, such as social networking sites (“Linked Accounts”). If you link your Shuffle Account to a Linked Account, you are authorising Shuffle to access and collect information associated with your Linked Account (the precise information depending on the permissions of the applicable third party service provider) on your behalf in order to integrate your experience on the Platform with content, information, and features available through such Linked Accounts. Linking, accessing or using a third-party service through the Platform in this manner may be subject to additional terms established by the applicable third-party service provider, and it is your sole responsibility to comply with such third party terms.
Rewards Service
To use our Rewards Service, we will redirect you to your Bank or Credit Card provider who will enable you to securely and safely connect your Bank Account(s) and credit card accounts (or “Accounts”) respectively to your Shuffle Account. You can complete this process when you create your Shuffle Account or afterwards.
You will be asked to provide your explicit consent to enable Shuffle to access your transactions on a read-only basis via the Account Information Service Provider. You will then be taken to the Account Information Service Provider, to provide your explicit consent for them to securely access your Accounts. Account Information Service Provider will redirect you to your Bank or Credit Card provider, where you will be required to select your accounts and authenticate the connection in order for them to share the Account(s) Information with us. We will ask you to renew your consent with us and the Account Information Service Provider every 90 days. Your Bank or Credit Card provider may also require you to periodically authenticate the connection. Without your consent or re-authentication, Shuffle will be unable to continue providing the Rewards Service. Your consent is required in respect of each Account you wish to earn rewards with.
You may withdraw your consent to access your Account(s) at any time. If you do withdraw (or fail to renew) your consent for one or more Account(s), Shuffle will no longer be able to offer and track rewards such as eligible Cashback for the relevant account. This means we will no longer be able to provide parts of our Rewards Service.
By providing your consent and in acceptance of these Terms, you:
grant Shuffle a royalty-free licence to use the information in your Account(s) for all purposes connected with Shuffle or referred to in these Terms or the Privacy Policy;
grant Shuffle the right to use, modify, display, distribute and create new material using or incorporating such information to provide the Shuffle Service to you;
agree that when we retrieve information relating to your Account(s) we are doing so as your representative and, on your behalf, and not on behalf of or in the name of any third party;
agree that we will be entitled to disclose your identity and information relating to your Account(s) to third parties if we are required to do so by any applicable law or court order.
Shuffle may also use, license, reproduce, sell, distribute and disclose aggregate, non-personally identifiable information that is derived through your use of Shuffle.
By using Shuffle, you represent that you are the legal owner of the data in your Account(s) and that you have the authority to appoint, and do expressly appoint, Shuffle as your agent and grant a limited power of attorney to access and retrieve such data on your behalf.
We rely on you and your Bank Account(s) providers to ensure that the Account(s) information and personal information you provide to us is up to date and accurate.
By submitting information, you agree (without the payment of any fees), that Shuffle may use the information for the purposes set out above.
Only you are permitted to use content delivered to you by Shuffle. You may not copy, reproduce, distribute, or create derivative works from this content. Further, you agree not to reverse engineer or reverse compile any of the technology associated with Shuffle, its website or any other provisioned technology.
All transactions you make are directly with the retailer, not with Shuffle. When you make a purchase with a retailer and subject to you giving consent in accordance with Clause 4.2, Shuffle can track and identify through the transaction data shared by your Bank and/or Credit Card provider that a purchase has been made and certain other elements relating to the purchase such as which Bank Account was used in connection with that purchase, where it was made and the amount spent. Once we have identified the purchase, Shuffle will assess whether it is eligible for treatment as a Qualifying Purchase in respect of which a Cashback reward can be earned.
You agree that Shuffle’s decision as to whether a purchase is a Qualifying Purchase is our decision alone and entirely in Shuffle’s discretion and we will not be liable to you for any failure in identifying a purchase as a Qualifying Purchase and/or the amount of a Cashback reward.
Cashback can only automatically be earned if the following Eligibility Criteria are met:A genuine purchase is being made. Repeat purchases may not qualify for Cashback rewards and you must purchase for genuine reasons. By making a transaction with a retailer, you acknowledge that it is at Shuffle's and/or the retailer’s entire discretion to determine whether a transaction is genuine and you acknowledge that we will not be liable for any Cashback where Shuffle or a retailer has deemed a transaction disingenuous.
The purchase complies with the criteria of the reward scheme of the relevant retailer (“Scheme Criteria”)
The purchase complies with any other criteria agreed between the retailer and Shuffle (“Additional Criteria”) or any other criteria that we deem necessary.
Once we have determined that a purchase is a Qualifying Purchase in accordance with the Eligibility Criteria, it will show up in your Shuffle Account as ‘Cashback Available to Withdraw’.
We will make all reasonable endeavours to secure the payment of commission on a transaction but we do not and cannot make any guarantee in this regard. If you notify us that a transaction has not been reported in your Shuffle Account as you anticipated (a “Claim”) we will use reasonable endeavours to investigate such Claim with the retailer subject always to our right to cease investigations at any point at our entire discretion.
It is important to note that we do not hold money in your Shuffle Account or an account similar to a bank nor are we under any obligation to hold any amount for, or on behalf of, you or any other customers or third parties or to transfer any amount to you or any other customers or third parties. You agree and acknowledge that in all circumstances the allocation and/or payment of Cashback to you is at our discretion and that we reserve the right to refuse to make any Cashback payments to you, or any other customer, including but not limited to circumstances where we, in our sole discretion, determine that we are prevented by applicable law to make such payment. Legal title to any Cashback earned does not pass to you until you have taken possession of the Cashback amount by way of a successful withdrawal from your Shuffle Account.
Rewards for cashback may be conditional. They could be time-sensitive, and the promotions may vary among users. There might be further terms that are detailed on our platform.
Shuffle reserves the right to reclaim or adjust any amount shown as ‘Cashback Available to Withdraw’ and/or any Cashback payments made in the event that any Cashback has been allocated and/or paid to you in error. This may include, but is not limited, to the following circumstances:
Cashback is not genuinely due to you.
The retailer disputes a purchase as being a Qualifying Purchase after a ‘Cashback Available to Withdraw’ balance or message is shown on your Shuffle Account or a Cashback payment has been made, and Shuffle determines that the purchase is not a Qualifying Purchase.
The purchase is returned, amended or cancelled.
Commission for a Qualifying Purchase has not been received by Shuffle from the retailer or its agencies but been paid over to you as a Cashback payment. You acknowledge that the retailer's decision is final in relation to the payment of commission to us and, in that case, you agree to repay any Cashback payment upon our request.
There is no valid Shuffle Account in place (e.g. if your Shuffle Account is terminated or disabled for any reason) in which case the Cashback will be deemed forfeited.
Connecting your account
Shuffle Finance Limited acts as an agent of GoCardless Limited. GoCardless (company registration number 07495895) is authorised by the Financial Conduct Authority under the Payment Services Regulations 2017, registration number 597190, for the provision of payment services, including account information services.
GoCardless provides us with a portal through which you can provide your consent to GoCardless to access your payment account and share your open banking data with us, which allows us to access your bank account and payment information strictly in relation to your use of the Platform and the services we provide.

GoCardless provides their services to you in accordance with their terms and conditions, which you will be required to agree to when you provide your consent to them. GoCardless uses personal data as described in their Privacy Notice - https://gocardless.com/privacy/
What the platform or services does not do
You hereby acknowledge that we do not verify any data, information or other content posted, uploaded or transmitted by users of the Services and, as such, it is your sole responsibility to check, confirm and satisfy yourself as to the accuracy of any such content as well as any information presented to you as part of the Services which is derived from such content. We provide no warranty and accept no responsibility for the accuracy or completeness of such content displayed on the Platfor
You, not us, are responsible for keeping copies of any information you provide to us. The Services do not include storage or back-up services; and we shall not be liable to you for any loss of such information (subject to our legal obligations to you as data controller of personal data).
Fees and payments
1. Subscription Fees (fees for your use of the app) are payable monthly in advance using the payment method selected by you when you selected your Subscription Plan (the pricing plan to access the functionality offered in relation to that plan, in exchange for paying the relevant Subscription Fees) or as otherwise agreed with you from time to time.
The available plans and their functionality are set out on the Shuffle website.
All card payments to Shuffle are made via Shuffle’s chosen third-party payment provider.
Shuffle may increase its Subscription Fees at any time on giving not less than 30 days’ prior written notice to you of any such increase.
If Shuffle has not received payment by the due date, and without prejudice to any other rights and remedies it may have, without liability to you, Shuffle may disable your account and access to all or part of the Services and Shuffle shall be under no obligation to provide any or all of the Services while the Fees remain unpaid.
All amounts and Fees stated or referred to in these Terms:
- shall be payable in pounds’ sterling;
- are non-refundable.
Access to the app
Shuffle will make reasonable efforts to make the Platform and Services available 24 hours a day, 7 days a week. Notwithstanding this, you hereby acknowledge that your use of the Platform and the Services may be interrupted from time to time, for example, when we perform maintenance services or as a result of delays or delivery failures resulting from the use of communications networks and facilities.
Access to the Platform and use of the Services is provided on an “as is” basis which means that we do not warrant the Platform or Services will be error-free at all times, and we shall not be liable to you for failure of the same.
Intellectual property
You acknowledge that all intellectual property rights in the Platform and the Services anywhere in the world belong to us or our licensors, and that you have no rights in or to the Platform or the Services other than the right to use each of them in accordance with these Terms.
Our Liability to You
We are responsible for loss or damage you suffer that is a foreseeable result of our failing to comply with these terms or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen.
We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation.

Applicable law
1. These Terms, and all our dealings with you are governed by the laws of England and Wales. Any dispute can be dealt with by an English or Welsh court unless your address is in Scotland (where it will be dealt with by the courts of Scotland); or Northern Ireland (where it will be dealt with by the courts of Northern Ireland).
2. These Terms are provided in English.
